Terms of Service

Welcome to Dexponent Inc. ("Dexponent," "we," "our," or "us"). These Terms of Service ("Terms") form a legally binding agreement between you ("you," "your," or "User") and Dexponent Inc., a company incorporated under the laws of the British Virgin Islands (Company Number 2122012), with its registered office at Intershore Consult (BVI) Ltd., Intershore Chambers, Road Town, Tortola, British Virgin Islands. These Terms govern your access to and use of the Dexponent non-custodial wallet interface, accessible through our website at https://dexponent.com/ (the "Services").

  • Use the platform to engage in illegal activities, including fraud, scams, money laundering, or financing unlawful conduct;
  • Attempt to gain unauthorized access to any system, network, or data;
  • Use bots, scrapers, or automated tools to access or interact with the platform without written consent;
  • Upload malicious code, spam, or perform denial-of-service (DoS) attacks.

Dexponent does not monitor your on-chain activity and cannot prevent or reverse actions taken on the blockchain. However, we may take reasonable measures, including limiting access to the interface, if we detect platform abuse or violations of these Terms.

10.3. Account Responsibility

As a user of Dexponent's non-custodial interface, you are solely responsible for maintaining the security of your device, wallet credentials, private keys, and any recovery phrases. Dexponent does not store or have access to this information and cannot assist in key recovery or transaction reversal.

You are also responsible for all interactions with the platform made through your self-custodied wallet. If you suspect that your credentials or device have been compromised, you should take immediate steps to secure your assets. Dexponent disclaims liability for any losses resulting from compromised user credentials or unauthorized access to your wallet.

10.4. Transaction Limits and Fees (Non-Custodial)

All transactions conducted through the Dexponent interface are initiated and cryptographically signed locally on your device. Dexponent does not transmit, process, or store your digital assets, private keys, or transaction data, and does not have access to your wallet or its contents.

Dexponent does not impose any on-chain transaction limits. However, limitations may arise from external factors, including blockchain network conditions, smart contract configurations, or restrictions imposed by third-party services or protocols. To maintain platform integrity, Dexponent may implement reasonable interface-level safeguards (e.g., rate limiting or spam protection).

Certain actions may require the payment of blockchain network fees (such as gas fees) or optional service-related charges. Where applicable, any such fees will be transparently disclosed within the interface before you authorize a transaction. You are solely responsible for reviewing and accepting all transaction-related costs before proceeding.

Dexponent reserves the right to update interface-related fee disclosures or mechanisms with or without notice, to the extent permitted by applicable law.

10.5. Suspension and Termination of Service

Dexponent reserves the right to restrict, suspend, or terminate your access to its non-custodial interface at any time, with or without notice, including but not limited to the following circumstances:

  • You violate any provision of these Terms of Service or applicable laws;
  • Your interactions with the interface are linked to illegal, fraudulent, or suspicious activities.
  • Suspension is necessary to protect the integrity, security, or compliance posture of the platform.

Because Dexponent does not store or control your private keys, your access to self-custodied assets remains unaffected by interface suspension. However, your ability to use Dexponent's software interface or related services may be disabled. Dexponent disclaims liability for any losses resulting from the inability to access the interface during a suspension or termination.

10.6. Service Modifications

Dexponent may update, modify, or discontinue portions of its software interface or related features at any time, with or without prior notice. Material changes will be communicated through the platform or other appropriate channels.

As a non-custodial provider, Dexponent's updates do not impact your access to on-chain assets or transactions outside the platform. Continued use of the platform following changes constitutes your acceptance of the modified Terms. Users are responsible for reviewing changes and ensuring continued compliance.

11. Intellectual Property

This section outlines the intellectual property rights associated with the Dexponent platform and your use of the Services.

11.1. Dexponent's Intellectual Property

Dexponent Inc. owns or has licensed all intellectual property rights in the Dexponent platform, including but not limited to:

  • Software code, algorithms, and technical architecture;
  • User interface design, graphics, and visual elements;
  • Trademarks, service marks, and brand names;
  • Documentation, educational content, and written materials.

These rights are protected by copyright, trademark, patent, and other applicable intellectual property laws. Your use of the platform does not grant you any ownership rights in Dexponent's intellectual property.

11.2. Limited License to Use

Subject to your compliance with these Terms, Dexponent grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Dexponent interface solely for its intended purpose: interacting with decentralized blockchain networks through your self-custodied wallet.

This license does not permit you to: (a) modify, copy, distribute, or create derivative works from the platform; (b) reverse engineer, decompile, or disassemble the software; or (c) use the platform for commercial purposes without written consent.

11.3. Open Source Components

The Dexponent platform may incorporate open-source software components that are subject to their respective licenses (e.g., MIT, Apache, GPL). Where applicable, these licenses govern your use of the open-source components and may grant you additional rights beyond those provided in these Terms.

A list of open-source components and their licenses may be made available upon request or within the platform documentation.

11.4. User Content and Feedback

If you provide feedback, suggestions, or other content to Dexponent (e.g., through support channels or community forums), you grant Dexponent a non-exclusive, worldwide, royalty-free, perpetual license to use, modify, and incorporate such content for the purpose of improving the platform.

You represent that any content you provide does not infringe the intellectual property rights of third parties and that you have the authority to grant the above license.

11.5. Trademark Usage

"Dexponent" and related trademarks, logos, and service marks are the property of Dexponent Inc. You may not use these marks without prior written permission, except as necessary to identify Dexponent's services in factual, non-commercial contexts.

Any unauthorized use of Dexponent's trademarks may constitute trademark infringement and unfair competition under applicable law.

11.6. Infringement Claims

If you believe that content on the Dexponent platform infringes your intellectual property rights, please contact us with the following information:

  • A description of the copyrighted work or intellectual property you claim has been infringed;
  • The location of the allegedly infringing content on the platform;
  • Your contact information and a statement of good faith belief that the use is unauthorized;
  • A statement that the information is accurate and that you are authorized to act on behalf of the owner.

Dexponent will investigate valid claims and take appropriate action, which may include removing or disabling access to allegedly infringing content.

12. Availability of Services

Dexponent strives to provide reliable access to its non-custodial wallet interface. However, the availability of the Services may be affected by various factors beyond our control.

12.1. Service Uptime

While Dexponent makes commercially reasonable efforts to maintain platform availability, we do not guarantee uninterrupted or error-free access to the interface. Service interruptions may occur due to:

  • Scheduled maintenance or updates;
  • Technical failures or infrastructure issues;
  • Third-party service provider outages;
  • Network congestion or connectivity problems;
  • Security incidents or abuse mitigation measures.

Dexponent disclaims liability for any losses resulting from service unavailability or interruptions.

12.2. Geographic Availability

The Dexponent interface is made available globally via the internet. However, access may be restricted or unavailable in certain jurisdictions due to:

  • Local laws or regulatory requirements;
  • Economic sanctions or trade restrictions;
  • Technical limitations or infrastructure constraints.

Users are solely responsible for ensuring that their access and use of Dexponent complies with applicable local laws.

12.3. Blockchain Network Dependencies

The functionality of the Dexponent interface depends on the availability and performance of underlying blockchain networks and third-party infrastructure. Dexponent does not control these networks and cannot guarantee their availability, speed, or reliability.

Issues such as network congestion, hard forks, or validator outages may impact your ability to interact with blockchain protocols through the interface.

12.4. Service Modifications and Discontinuation

Dexponent reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. This may include:

  • Adding, removing, or changing features or functionality;
  • Updating the user interface or underlying technology;
  • Discontinuing support for certain blockchain networks or protocols.

Because Dexponent is non-custodial, service modifications or discontinuation do not affect your control over your digital assets, which remain accessible through other compatible tools and interfaces.

13. Warranties

Dexponent provides its non-custodial wallet interface on an "as is" and "as available" basis. This section outlines the warranties and disclaimers that apply to your use of the Services.

13.1. Limited Warranty

Dexponent warrants that it will provide the Services with reasonable care and skill, in accordance with these Terms and applicable law. However, this warranty is subject to the disclaimers and limitations set forth below.

13.2. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Dexponent disclaims all other warranties, whether express, implied, or statutory, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement;
  • Warranties that the Services will be uninterrupted, error-free, or completely secure;
  • Warranties regarding the accuracy, reliability, or completeness of any content or information;
  • Warranties that defects or errors will be corrected.

13.3. Third-Party Services

Dexponent makes no warranties or representations regarding any third-party services, blockchain networks, or decentralized protocols that you may access through the interface. Your use of such services is entirely at your own risk.

13.4. No Financial or Investment Advice

Dexponent does not provide financial, investment, tax, or legal advice. Any information presented through the interface is for informational purposes only and should not be construed as professional advice.

You should consult with qualified professionals before making any financial or legal decisions related to your use of digital assets or blockchain technologies.

14. Limitation of Liability

14.1. General Limitation

To the maximum extent permitted by applicable law, Dexponent Inc. and its affiliates, directors, employees, licensors, and service providers (collectively, the "Dexponent Parties") shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or relating to your use of the Services.

This limitation applies regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise, and even if the Dexponent Parties have been advised of the possibility of such damages.

14.2. Cap on Direct Damages

In no event shall the total liability of the Dexponent Parties for all claims arising out of or relating to these Terms or your use of the Services exceed the greater of: (a) the amount you have paid to Dexponent in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

14.3. Non-Custodial Nature

You acknowledge and agree that Dexponent is a non-custodial service provider. The Dexponent Parties shall not be liable for any losses arising from:

  • Your failure to properly secure your private keys, seed phrases, or wallet credentials;
  • Unauthorized access to your wallet or digital assets;
  • Errors in transaction details, addresses, or amounts that you input;
  • Your interactions with third-party protocols, smart contracts, or decentralized applications;
  • Blockchain network failures, congestion, or other technical issues beyond our control.

14.4. Financial and Regulatory Disclaimer

Dexponent does not control or hold your funds. You are solely responsible for the custody, use, and security of your private keys and assets. The Dexponent Parties disclaim any liability for losses arising from:

  • The fluctuation of token prices or staking returns;
  • Gas fees, slippage, failed transactions, or impermanent loss;
  • Regulatory actions or legal obligations in your jurisdiction, including tax compliance and reporting requirements.

14.5. Third-Party Actions

The Dexponent Parties shall not be liable for any losses or damages resulting from:

  • Actions or omissions of third-party service providers, validators, or protocol operators;
  • Bugs, exploits, or vulnerabilities in third-party smart contracts or blockchain protocols;
  • Phishing attacks, social engineering, or other fraudulent activities by third parties;
  • Interruptions or failures of internet service providers or telecommunications networks.

14.6. Force Majeure

The Dexponent Parties shall not be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, labor disputes, or widespread internet outages.

14.7. Jurisdictional Variations

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the liability of the Dexponent Parties shall be limited to the maximum extent permitted by applicable law.

15. Disclaimer

15.1. No Warranties

Dexponent provides access to its software and related services on an "as is" and "as available" basis, without warranties of any kind—express, implied, statutory, or otherwise. We specifically disclaim all warranties including, but not limited to, warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will meet your requirements, be available on an uninterrupted, timely, secure, or error-free basis, or that any defects or errors will be corrected.

15.2. No Financial or Legal Advice

Information available on the Dexponent platform is provided for informational purposes only and does not constitute financial, investment, tax, or legal advice. We do not recommend or endorse any particular digital asset, investment strategy, or course of action.

You should consult with a qualified professional before making any financial, investment, or legal decisions related to digital assets or blockchain technologies.

15.3. No Control Over Blockchain or Smart Contracts

We do not control, maintain, or guarantee the performance of any third-party protocols, smart contracts, blockchain networks, or validators. You assume all risks associated with interacting directly with these technologies.

Blockchain transactions are generally irreversible, and we cannot undo, reverse, or refund any transactions you initiate through the interface.

15.4. Security Risks

While we implement reasonable security measures, we cannot guarantee that the Services will be free from security vulnerabilities, unauthorized access, or other security threats. You are responsible for implementing appropriate security measures to protect your devices, wallet credentials, and digital assets.

15.5. Regulatory Uncertainty

The regulatory landscape for digital assets and blockchain technologies is rapidly evolving and varies by jurisdiction. We make no representations about the legal status of any digital assets, protocols, or activities accessible through the interface.

You are solely responsible for understanding and complying with applicable laws and regulations in your jurisdiction.

15.6. Third-Party Content and Services

The interface may display or provide access to third-party content, services, or protocols. We do not endorse, control, or assume responsibility for any third-party content or services.

Your interactions with third parties are solely between you and such third parties, and you agree that Dexponent is not responsible or liable for any loss or damage incurred as a result of such interactions.

16. Governing Law

These Terms of Service and any disputes arising out of or relating to these Terms or your use of the Services shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of law principles.

The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

By using the Services, you consent to the jurisdiction and venue of the courts of the British Virgin Islands for the resolution of any disputes, subject to the arbitration provisions set forth below.

17. Dispute Resolution

This section outlines the process for resolving disputes that may arise between you and Dexponent in connection with these Terms or your use of the Services.

17.1. Informal Resolution

Before initiating any formal dispute resolution process, you agree to first attempt to resolve any dispute informally by contacting Dexponent's support team. We will make reasonable efforts to resolve the dispute through good faith negotiations.

17.2. Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved through binding arbitration rather than in court, except as otherwise provided herein.

The arbitration shall be conducted under the rules of a recognized arbitration institution, such as the International Chamber of Commerce (ICC) or the London Court of International Arbitration (LCIA), with the seat of arbitration in a neutral jurisdiction agreed upon by the parties.

17.3. Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis only and not as a class action, collective action, or representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration.

17.4. Exceptions to Arbitration

Notwithstanding the arbitration requirement, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

17.5. Limitation Period

Any claim or dispute must be filed within one (1) year after the claim or cause of action arises, or it will be permanently barred.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severed from these Terms, and the remaining provisions shall continue in full force and effect.

The parties agree to replace any invalid, illegal, or unenforceable provision with a valid and enforceable provision that achieves, to the extent possible, the original intent and economic effect of the invalid provision.

19. Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without the prior written consent of Dexponent. Any attempted assignment in violation of this provision shall be null and void.

Dexponent may assign these Terms, in whole or in part, to any affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, without your consent.

20. Waiver

No waiver of any provision of these Terms shall be deemed or shall constitute a waiver of any other provision. No failure or delay by Dexponent in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof.

Any waiver must be in writing and signed by the party against whom the waiver is sought to be enforced.

21. Indemnification

You agree to indemnify, defend, and hold harmless Dexponent, its affiliates, directors, officers, employees, agents, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your use or misuse of the Services;
  • Your violation of these Terms or any applicable law or regulation;
  • Your violation of any third-party rights, including intellectual property, privacy, or contractual rights;
  • Any content or information you provide through the Services;
  • Your interactions with third-party services, protocols, or smart contracts accessed through the interface.

This indemnification obligation shall survive the termination of these Terms and your use of the Services.

Dexponent reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with Dexponent's defense of such claims.

22. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or agreements referenced herein, constitute the entire agreement between you and Dexponent regarding your use of the Services.

These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Dexponent relating to the subject matter herein.

23. Survival

The following provisions shall survive the termination of these Terms: Sections 5 (Risk Disclosure), 14 (Limitation of Liability), 15 (Disclaimer), 16 (Governing Law), 17 (Dispute Resolution), 21 (Indemnification), and any other provisions that by their nature should survive termination.

24. Force Majeure

Dexponent shall not be liable for any failure or delay in performance of its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to:

  • Acts of God, natural disasters, or extreme weather conditions;
  • War, terrorism, civil unrest, or government actions;
  • Labor disputes, strikes, or lockouts;
  • Internet outages, cyberattacks, or widespread technical failures;
  • Regulatory changes or legal restrictions that prevent performance.

In the event of a force majeure situation, Dexponent will make reasonable efforts to minimize the impact and resume normal operations as soon as practicable.

25. Electronic Communications

By using the Services, you consent to receive electronic communications from Dexponent, including but not limited to notices, agreements, and other information concerning or related to the Services.

You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.

Electronic communications may be delivered through the interface, email, or other electronic means to the contact information you have provided.

26. Language

These Terms are written in English. Any translations provided are for convenience only and may not accurately reflect the original English version.

In the event of any conflict or inconsistency between the English version and any translation, the English version shall prevail and control.

27. Improvement and Modification of the Terms of Service

We may update or revise these Terms from time to time to reflect changes in the law, technology, or the nature of our services. When we do, we will update the "Last Updated" date and may provide additional notice if required by law.

Material changes will be communicated through the interface or other appropriate channels. Your continued access or use of Dexponent's services after any changes become effective constitutes your acceptance of the revised Terms.

If you do not agree to the modified Terms, you should discontinue your use of the Services. Because Dexponent is non-custodial, you will retain full control over your digital assets regardless of whether you continue to use the interface.
